Terms of Service

1. Acceptance of Terms

By accessing or using ITOdin ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Platform.

2. The Platform

ITOdin provides a SaaS platform for Managed Service Providers (MSPs) that includes remote monitoring and management, endpoint security, ticketing, billing, client portal, and related services available at app.itodin.com and associated subdomains.

3. Subscriptions and Billing

Access to the Platform requires a paid subscription. Fees are billed in advance on a monthly or annual basis as selected at checkout. All fees are non-refundable except where required by law or as stated in our refund policy.

Prices may be changed with 30 days notice. Continued use after a price change constitutes acceptance of the new pricing.

Device-based add-ons (e.g., Workforce Monitoring) are billed per enrolled device per month. You are responsible for managing enrollment to control costs.

4. Acceptable Use

You agree not to:

  • Deploy monitoring agents on devices without proper authorization from device owners or in violation of applicable law
  • Use the Platform to access, collect, or process data you are not legally permitted to access
  • Attempt to reverse-engineer, decompile, or derive source code from the Platform
  • Use the Platform in any way that violates applicable local, national, or international laws
  • Resell, sublicense, or provide platform access to third parties without written permission
  • Conduct load testing, penetration testing, or security scanning against ITOdin infrastructure without written authorization

5. Workforce Monitoring

If you enable the Workforce Monitoring feature, you are solely responsible for:

  • Providing required notice to monitored employees in accordance with all applicable labor, privacy, and employment laws
  • Obtaining any required consents before collecting activity data or screenshots
  • Ensuring monitoring practices comply with your jurisdiction's requirements (including GDPR, CCPA, and applicable state laws)

ITOdin provides the technical capability; you are the data controller and solely liable for lawful use of monitoring features.

6. Data Ownership

You retain all rights to data you upload or generate through the Platform ("Customer Data"). You grant ITOdin a limited license to process Customer Data solely to provide the Platform services. We do not use Customer Data for our own commercial purposes.

7. Uptime and SLA

ITOdin targets 99.9% monthly uptime for the API and dashboard, excluding scheduled maintenance (announced 48 hours in advance). In the event of downtime exceeding the SLA threshold in a billing period, you may request a service credit equal to the pro-rated value of the downtime. Credits are the sole remedy for SLA misses.

8. Intellectual Property

ITOdin and its licensors own all right, title, and interest in the Platform, including all software, trademarks, and documentation. These Terms do not transfer any intellectual property rights to you. You may use the Platform only as permitted under these Terms.

9. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITODIN'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL ITODIN BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Termination

Either party may terminate the subscription at any time. Upon cancellation, your access ends at the close of the current billing period. You may export your data within 30 days of termination; after that period, data will be deleted in accordance with our retention policy. ITOdin may suspend or terminate access immediately for material breach of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Harris County, Texas.

12. Changes to Terms

We may modify these Terms at any time by posting the revised version and notifying you by email or in-platform notice at least 14 days before the change takes effect. Continued use of the Platform after that date constitutes acceptance of the revised Terms.
